Our approach is to provide efficient and timely representation to best service our clients. Rampart Law Group
attorneys provide loan documentation, diligence review and closing services to clients in transactions ranging from
small business loans to middle market credit facilities to commercial real estate matters to bond finance deals.
We represent both lenders and borrowers in all types of secured financial transactions. We bring guidance in
structuring various kinds of transactions, such as asset-based lending, commercial & industrial financing, equipment
financing, private equity sponsored leveraged lending, warehouse credit facilities, loan participations, syndications,
and mezzanine and second lien financing. We also bring experience in financing deals secured by a variety of
collateral, including real property, accounts receivable and other personal property.
Commercial Real Estate Financing
We represent both borrowers and lenders, such as banks and financial institutions, who provide credit facilities for
commercial real estate projects. Our attorneys are highly experienced in negotiating the transaction, protecting our
clients' rights, and closing the deal. In addition to real estate transactions, a myriad of problems arise in connection
with property, such as title problems, boundary disputes, tax issues, liens and abandoned tanks. In all such matters
our attorneys seek to advance our clients' interests to achieve the results which they want and need in the most cost-
effective manner possible.
Our attorneys tax experience allows us to effectively resolve complex tax lien issues and property tax appeals, as
well as to structure tax efficient 1031 exchanges. Our attorneys handle construction issues in real estate transactions
such as construction defects and insurance coverage. We handle environmental issues which arise in real estate
transaction such as responsibility for environmental contamination.
Equity Sponsor Leveraged Lending
Our banking and finance practice includes representation with respect to leveraged credit facilities to fund the
acquisition of, and satisfying the working capital needs of, companies targeted by private equity sponsors. Our
representation includes assisting in structuring and documenting the transactions, conducting the necessary due
diligence with respect to the obligated group, including the target companies of the sponsor's acquisition. Careful
attention is needed to understand the balance between the lender's interest in protecting its investment and the
sponsor's equity investment goals.
Small Business Administration Lending
Our attorneys are experienced in handling term loans and lines of credit under the SBA 7(a) Loan Program in
connection with the financing of business acquisition, commercial real estate, equipment acquisition, inventory
purchases and working capital.
Our attorneys assist clients with structuring project financing using a variety of public financing products, including
serving as bond counsel to borrowers and negotiating state and municipal tax incentives.
